                        <title>Eurofiber secures €2.2 billion sustainability-linked debt financing to support its continued investment in open digital infrastructure</title>

The new long-term financing platform will support the company’s continued expansion and investment in open digital infrastructure across Europe.</strong></span></p><p><span>The new financing platform replaces Eurofiber’s existing €1.5 billion financing and comprises significant undrawn committed debt facilities. The transaction was strongly supported by a broad group of banks and institutional investors.</span></p><p><span>The refinancing provides Eurofiber with a diversified funding structure with investment-grade characteristics and access to multiple sources of liquidity, including, over time, the capital markets.</span></p><p><span>The transaction is structured as a Sustainability-Linked Loan aligned with the latest LMA Sustainability-Linked Loan Principles. It includes annual ESG targets and a margin adjustment mechanism linked to three key performance indicators: reducing Scope 1, 2 and 3 greenhouse gas emissions in line with the Science Based Targets initiative methodology, introducing a circularity KPI and increasing gender diversity across the workforce.</span></p><p><span>The refinancing underlines Eurofiber’s strong position as a trusted provider of open digital infrastructure across Europe. As demand for secure, resilient and scalable connectivity continues to grow, the new financing platform gives Eurofiber additional flexibility to invest in its fiber networks, expand its cloud infrastructure services and continue delivering customer-driven innovation in its core markets.</span></p><p><i><span>“This refinancing confirms the strength of Eurofiber’s business model and the confidence of our financing partners in our long-term strategy. With this transaction, the MIH Group strengthens its position in the German fiber market and expands its existing portfolio of fiber network construction and operations to include the targeted commercialization of network infrastructure.</span></p><p><span>Over the past years, Eurofiber Netz GmbH has significantly advanced the rollout of a high-performance fiber-to-the-home network in Berlin, establishing a strong regional presence with more than 150,000 homes passed. Following this successful build-out phase, the company is now entering a new stage of development, in which commercial utilization, marketing, and further economic development of the existing infrastructure will take center stage.</span></p><p><span>Against this backdrop, MIH Group has been identified as a strategic investor to support and further develop Eurofiber Netz GmbH in this next phase. MIH brings extensive experience in the development, operation, and expansion of fiber infrastructure and sees the acquisition as a logical extension of its strategic direction.</span></p><p><i><span>“We are proud of the progress made by the Eurofiber Netz team in building a high-performance fiber-to-the-home network in Berlin</span></i><span>,” said <strong>Eurofiber Chief Operating Officer Eric Kuisch</strong>. </span><i><span>“After five years of successful rollout of the network, the company is ready for its next phase of development under new ownership. The transaction includes the transfer of four Eurofiber operational staff to ETIX, guaranteeing uninterrupted service for existing clients. Beyond local continuity, customers will now be integrated into ETIX’s premier national ecosystem. We are proud of the journey we embarked upon together and are in equal measure excited about the future; a future in which secure digital infrastructure will only increase in importance.”</span></i></p><p><span>When Antin Infrastructure Partners acquired Eurofiber as part of its Flagship Fund II, the company operated mainly in the Netherlands, had revenues of about €130 million, a fiber-optic network of 18,000 km and about 3,000 customers. Over the past 10 years, with Antin’s support, Eurofiber has more than doubled its revenues to over 300 million euros at end-2024, operates in 4 countries, has grown its fiber optic network four-fold to more than 76,000 kilometers and tripled its customer base to about 9,000 customers. In the Netherlands, Eurofiber has become the leading B2B connectivity provider.</span></p><p><i><span>“We were attracted from the start by Eurofiber’s stellar track-record, talented management team and strong growth potential, as well as by the fact that they viewed their business with an infrastructure mindset,</span></i><span>” says <strong>Stéphane Ifker, Managing Partner of Antin Infrastructure Partners</strong>. </span><i><span>“We shared their vision of expanding the company's presence into multiple markets, anticipating the increasing demand for open access networks and the expected internationalization of the industry, and we’re very pleased to see that one decade on, this ambition has clearly been realized.”</span></i></p><p style="text-align:justify;"><span>Eurofiber quickly got down to business after Antin’s entry, combining both organic growth and acquisitions, with more than €1.5 billion of capital expenditure deployed into the Eurofiber network to grow it by some 58,000 kilometers. Expansion started with the acquisition of B-Telecom in 2015, adding 7,500km network and nationwide coverage in Belgium. A year later, Eurofiber acquired Dataplace to complement dark and lit connectivity offering with regional edge co-location. Today, the Eurofiber Cloud Infra business unit comprises of 11 sites with a total capacity of 24MW across the Netherlands and France, providing (hybrid) cloud infrastructure services including liquid cooling and high-performance computing (HPC) capabilities in select sites.</span></p><p><span>In 2019, Eurofiber and Antin crossed new borders again with the acquisition of three companies in Northern France, Eurafibre, Eura DC and ATE, laying the foundations for the creation of a nationwide platform targeting 25 metro areas by the end of 2025. At the same time, a dedicated International Business Unit was established to serve global carriers and hyperscalers, addressing their cross-border connectivity needs.</span></p><p><span>In 2020, joint ventures in Belgium (Unifiber, with Proximus) and Berlin (Eurofiber Netz, initially Vattenfall-Eurofiber) led to the successful deployment of wholesale Fibre-to-the-Home networks. These initiatives have created a footprint of approximately 360,000 homes passed to date, with more than 15 ISPs, including Proximus, 1&1, Telefónica, Pÿur, and Vodafone. The overall future target is to reach around 1.1 million homes passed.&nbsp;</span><br><span>Also in 2020, Eurofiber welcomed Dutch pension investor PGGM alongside Antin, which renewed its commitment as majority shareholder.</span></p><p><span>In 2021, Eurofiber further expanded its presence in Germany through a partnership with NGN, adding another 19,000 km to its pan-European network.</span></p><p><i><span>&nbsp;“The strength of our partnership lies in our shared vision of the vital role that open access digital infrastructure plays in the economy and society,”</span></i><span> says Alex Goldblum.</span></p><p><span>Additionally, Eurofiber has established itself as a leader in sustainability, achieving a Platinum EcoVadis rating in 2024, which places it in the top 1% of all companies assessed globally. Eurofiber has also made a public commitment to long-term decarbonization by formalizing a science-based target, approved by the Science Based Targets Initiative (SBTi), to achieve net zero emissions across all scopes by 2040.</span></p><p><span>Recognizing the vital importance of quantum secure networks for the resilience of our digital society, Eurofiber has been at the forefront of innovation, designing and building quantum communication links and proposing Quantum Key Distribution (QKD) networks. This commitment to innovation has resulted in operational quantum networks in locations such as the Port of Rotterdam. Procuring backhaul services from Eurofiber enables Bright Access to focus entirely on offering its services, without having to worry about reliability and future-proofing of the network infrastructure.</strong></span></p><p><span>Bright Access is a Dutch provider of business fiber connectivity, specifically targeting business parks. The company has already connected over 160 business parks throughout the Netherlands. Eurofiber is a provider of open digital infrastructure for the business market in the Netherlands, Belgium, France and Germany. Eurofiber has an extensive network covering 76,000 km, including over 34,000 km in the Netherlands.</span></p><p><span>The agreement between Eurofiber and Bright Access is about Eurofiber providing backhaul for over 40 business parks. The backhaul is the part of the network that links local connections to the central network and its nodes with different Point of Presence (PoP) locations.                         <title>Why Europe Should Not Disrupt Investor Confidence In Fixed Markets</title>

                        <guid>https://www.eurofiber.com/press/why-europe-should-not-disrupt-investor-confidence-in-fixed-markets/</guid><pp:caseid>713856</pp:caseid><pp:subtitle>Regulatory certainty needed to drive investment in connectivity</pp:subtitle><description><![CDATA[<p>For decades, European consumers and businesses have benefitted from choice, value and innovation in fixed broadband infrastructure, underpinned by a predictable and established regulatory framework that has lowered barriers to entry. European regulation sought to strike a balance between competition and incentivising the long-term investment required to build and run high-quality, gigabit fixed fibre connectivity.&nbsp;<br><br>In contrast to mobile, fixed access including ducts and poles remains a de facto natural monopoly across much of the EU and is impossible to fully replicate.&nbsp;<br>To serve European businesses and enterprises, operators must also offer connectivity at a variety of urban and rural sites. Given that only incumbent operators have nationwide coverage, wholesale access remains key.&nbsp;<br><br>It is therefore alarming that the European Commission is now proposing to relax regulation on former fixed monopolies.&nbsp;<br>We believe that the Commission’s proposals are a backwards step. Deregulation of wholesale access would lead to re-monopolisation and stifle competition and investment in fixed connectivity services, particularly during the migration from copper to fibre.&nbsp;<br><br>This approach contrasts starkly with the principles of competition as a driver for investment that the Commission has rightly championed for decades. And it would entrench dominance, notably in underserved areas, imperilling the pace of full fibre infrastructure rollout and gigabit-capable services for millions of Europeans.&nbsp;<br>It would therefore be both premature and significantly undermine regulatory certainty if Europe departs from the well-established ex-ante model or removes all markets from the Recommendation on Relevant Markets (RRM).&nbsp;<br><br>This would result in a less competitive investment case for fixed telecoms in Europe, stranding billions of euros committed by the private sector and reducing investor sentiment.&nbsp;<br><br>The current Commission’s proposals would further suppress future take up of services by consumers and businesses, inhibit network innovation, and make it more challenging for Europe to achieve its Digital Decade 2030 targets.&nbsp;<br>Instead, we urge the Commission to enshrine a predictable framework for fixed infrastructure based on the following principles:&nbsp;<br><br>1.<strong> Preserve the ex-ante model to spur competition and investment in the sector and increase consumer choice and take-up.</strong>&nbsp;<br>Ex-ante regulation remains essential for wholesale local access (market one) and wholesale dedicated capacity for business connectivity (market two) - including dark fibre access. Symmetric obligations under the Gigabit Infrastructure Act are not a substitute for targeted remedies aimed at taming excessive market power such as access to passive fibre services, especially in areas where infrastructure competition is unlikely to emerge.&nbsp;<br><br>2.<strong> Ensure access to physical infrastructure, including ducts and poles.&nbsp;</strong><br>In many EU member states, this infrastructure is still largely controlled by a single operator, creating a de facto monopoly.&nbsp;<br><br>3. <strong>Complete the Digital Networks Act before considering changes to the RRM framework.&nbsp;</strong><br>The EU’s connectivity strategy in the Digital Networks Act should be implemented and its impact fully assessed before the Commission should consider changes to the RRM framework. The Commission must adequately consider that national regulators still find a need to regulate markets one and two. Of the 27 EU NRAs, 23 currently regulate market one and 15 regulate market two.&nbsp;<br>Long-term investment in fibre networks depends on regulatory certainty. Eurofiber has been commissioned by Air Traffic Control the Netherlands to connect new digital infrastructure between the Dutch airports where LVNL provides air traffic control services at the airports of Schiphol, Rotterdam-The Hague, Maastricht, Eelde and Lelystad. Fiberoptic connections were laid over a total distance of 560 kilometers to connect the ten LVNL locations to the Eurofiber core network. More than 25 kilometers of this involved excavation works to lay new fiberoptic cable. This ultra-redundant network provides fully separated infrastructure that meets the highest security standards. With this new fiberoptic infrastructure, air traffic is managed and monitored at various airports from the central Traffic Control facility at Schiphol: infrastructure in the most critical sense.</span></p><p><span><strong>Quantum Key Distribution network Port of Rotterdam</strong></span><br><span>Eurofiber, as a member of a consortium, achieved a groundbreaking milestone by becoming the first in the world to establish a </span><a href="https://www.eurofiber.com/press/consortium-first-in-the-world-to-build-scalable-quantum-internet-connection-in-rotterdam-port/"><span>scalable quantum internet connection in the Port of Rotterdam</span></a><span>. A trial setup demonstrated that the use of quantum technology prevents access to sensitive information. In the future, this new communication system could improve the security of the tens of thousands of seagoing vessels that visit the port every year and better secure the resulting economic traffic from the threat of quantum computers. The Quantum Safe Network project at the Port of Rotterdam recently received the prestigious Dutch IT Channel Award 2024.</span></p><p><span><strong>Bytesnet acquisition</strong></span><br><a href="https://www.eurofiber.com/press/eurofiber-acquires-bytesnet-datacenters/"><span>Eurofiber acquired Bytesnet</span></a><span>, a Dutch provider of High-Performance Computing, cloud and connectivity. With datacenters in Groningen and Rotterdam Bytesnet offers colocation services to its customers in sectors including healthcare, education, and government. This acquisition strengthens Eurofiber’s position in the regional edge data center segment, supporting its long-term growth objectives for open access digital infrastructure.</span></p><p><span><strong>Sustainability advances: SBTi approval and Platinum ranking EcoVadis</strong></span><br><span>Eurofiber recently achieved another significant milestone in its ESG policies with the official </span><a href="https://www.eurofiber.com/press/eurofibers-net-zero-targets-receive-sbti-validation/"><span>validation of its Net-Zero targets by the Science Based Targets initiative (SBTi)</span></a><span>. Eurofiber is now part of a select group of some 1,600 companies worldwide whose Net-Zero targets have received SBTi approval. This &nbsp;approval reinforces Eurofiber’s commitment to meaningful climate action. Additionally, </span><a href="https://www.eurofiber.com/press/eurofiber-in-ecovadis-global-top-1-best-performing-companies-thanks-to-esg-program/"><span>in the latest EcoVadis sustainability rating</span></a><span>, Eurofiber Netherlands attained the highest achievable status: Platinum. The project includes delivering Managed Kubernetes, Technical Application Management, Managed Security and SOC services.</strong></span></p><p style="text-align:justify;"><span>To fulfill the project brief, Eurofiber will be using its own Tier 3* datacenters and VMware Verified Private Cloud platform. This gives PinkRoccade access to the very best inmodern and future-proof infrastructure, with &nbsp;security and compliance as cornerstones. Building on this solid foundation, PinkRoccade will be able to continue optimizing and expanding its range of services for Dutch municipalities over the next few years. Besides the iBurgerzaken citizen self-service apps, the Eurofiber Private Cloud solution will also be used by other applications, including&nbsp; iSamenleving (care and social services) and iParticipatie (social assistance applications). On this large-scale project, Eurofiber is partnering with VMware specialist ITQ for the Managed Carbon Black XDR service and security specialist Nomios for the Managed NDR and 24x7 SOC services.</span></p><p style="text-align:justify;"><i><span>“To fulfill PinkRoccade’s ambitions, we have to be able to rely on a future-proof, secure infrastructure. The project includes the construction, expansion and maintenance of fiberoptic infrastructure as needed. The airports involved are Schiphol, Rotterdam, Maastricht, Lelystad and Groningen.</span></p><p><span>Furthermore, Eurofiber completed a Euro 1.5 billion sustainability-linked refinancing supporting further network expansion across Europe. The facilities and the related hedging have sustainability incentives in alignment with Eurofiber’s sustainability program, which includes, among other things, measures that will lead to a 50% CO2 reduction by 2025 (compared to 2021), furthering the company’s stated goal to be 100% climate proof by 2030, as well as measures regarding gender balance.</span></p><p><span>For this facility Eurofiber recently received the GlobalCapital's Sustainability Linked Loan of the Year Award, one of the leading information sources of the international capital markets. This prestigious award was given following a poll of parties in the financial markets. &nbsp;</span></p><p><span><strong>Outlook for 2023</strong></span><br><span>In 2023, Eurofiber will continue to grow its business across its footprints, both organically and inorganically and will continue to focus on industry leading customer satisfaction.&nbsp;</span><br><br><span>Building on earlier acquisitions, Eurofiber has further strengthened its position in the French B2B telecom market by acquiring B2B telecom providers Appliwave and Avelia, extending its French footprint to Paris, Lyon, Annecy and Reims, and adding networks with a total length of over 2,600 kilometers. Its backbone network covers the whole of France and extends to Germany.</span></p><p><span>Eurofiber's ESG program will result in a CO2 reduction of 50 per cent by 2025 as compared to 2021, with the&nbsp; goal of being 100 per cent climate neutral by 2030. To achieve this, Eurofiber is working on various sustainability initiatives such as using only sustainably generated electricity, a leasing policy with 100 per cent electric driving, reducing energy consumption in the supply chain and increasing circularity of products. Manifesto agreements are being agreed with key suppliers to achieve CO2-neutral construction and maintenance of the Eurofiber network and to reduce packaging materials. New opportunities to reuse equipment are continuously being explored.</span></p><p><span>According to EcoVadis latest sustainability rating, Eurofiber Netherlands has achieved a gold status. Building on earlier acquisitions, Eurofiber is further strengthening its position in the French B2B telecom market. The intended acquisition is subject to customary regulatory approvals in France and is expected to be completed in the course of Q2 2023.</strong></p><p style="margin-left:0px;text-align:start;"><span>Appliwave is a Paris-based B2B infrastructure telecom operator that provides enterprises and wholesale customers with FTTO connectivity. Founded in 2010, it was acquired in 2019 by Septeo, a company specialized in IT solutions for legal and real estate professionals. In recent years, Appliwave had deployed its own fiberoptic networks in Paris, Lyon, Annecy and Reims, with a total length of over 2,600 kilometers. Its backbone network covers the whole of France and extends to Germany.</span></p><p style="margin-left:0px;text-align:start;"><span>Avelia, headquartered in Nice, was founded in 2003 and was acquired by Septeo in early 2022. It has a large customer base of enterprises and wholesale partners in Paris and Nice. Avelia provides them with network security, telecoms and internet services.</span></p><p style="margin-left:0px;text-align:start;"><span>Appliwave and Avelia will become part of Eurofiber France. With this acquisition, the Eurofiber Group is expanding its footprint in France, further executing its growth strategy. This hoodie symbolizes a special recognition for learners and innovators who use Salesforce to build successful careers, companies and/or communities all over the world. Sima’s story of hope - fleeing from her home country for safety reasons and starting a new career in a new country as a Salesforce developer in The Netherlands at Eurofiber, through Refugeeforce – inspired many people.</strong></span></p><p><span>Steven Klockaerts, Eurofiber Group CIO: </span><span style="padding:0cm;">‘Our entire IT team felt very proud to see Sima on stage during Dreamforce. And even colleagues within the IT team who didn’t know Sima, or just got to know her briefly, felt that. She really knows how to take the stage, I really enjoyed seeing that’, Steven adds [with a big smile]. ‘I never doubted that an individual like Sima would bring so much to Eurofiber. And not just in terms of her work, but also the positivity and the energy she brought to the team. I really believe we perform better as a team because of that.’</span></p><p><span>Sima, who’s now currently working as a Salesforce consultant at Capgemini, started as a Salesforce developer at Eurofiber in December 2019. She was one of the candidates Eurofiber hired through </span><a href="https://www.refugeeforce.nl/"><span><u>Refugeeforce</u></span></a><span>, a charity that has the mission to create more opportunities and access for refugees.</span></p><h2><span style="color:#CE7800;"><span style="padding:0cm;">Steven: ‘The opportunity of taking part in the Refugeeforce program, being able to coach someone as a team and seeing them thrive, gives back so much positive vibes, team spirit, energy and adds to our happiness at work. It makes you step out of your daily routine and become more humble as a human being.’</span></span></h2><p><br><span>Initially, the plan was to hire one candidate, but Steven’s team asked if him it was possible to hire one more. Steven: ‘My team always interviews candidates before a manager interviews them, because the team has to work with them. When I asked who wanted to interview candidates from Refugeeforce, a lot of people from our team stepped up. Hearing the stories and journeys of the candidates, really made an impact on the team, which is why it was extremely difficult for us to only hire one – and eventually two.’ Yet at the same time, as Steven explains, people who seek refuge in another country, feel they should be hired for the value and expertise they could bring to a company in the future and not because of the situation they’re in at that moment’</span></p><p><span>Salesforce interviewed Sima about her journey, along with Gaspar Rodriguez, founder Refugeeforce and Eurofiber Group CIO Steven Klockaerts, as Refugeeforce, Salesforce and Eurofiber played a significant role in the start of her career in The Netherlands. The scope includes multi country DWDM roll out, datacenter switching and multiple other areas to increase Eurofiber Open Network footprint.</strong></span></p><p><span>This agreement, covering all Eurofiber affiliates, underlines the mutual commitment of the two companies to develop superfast, high-capacity fiber optic networks in Europe with the highest service standards possible. Within Eurofiber France, first optical networks are already under deployment in the south and north of France. Next to France, Nokia is also deploying a DWDM city network in Germany for the Berlin based joint venture Vattenfall-Eurofiber. In Belgium, both companies agreed to renew the nationwide DWDM network. With this, Eurofiber reduces the carbon footprint of its mobility by 88% by the end of 2026 and its total emissions by 36%.</strong></span></p><p><span>Electrifying its fleet of 200 lease cars in the Netherlands and Belgium is part of the vast sustainability program which was started in 2020. Procurement Director Norian Wasch: </span><i><span>‘This program consists of a range of measures that need to count up to 50% of CO2 reduction by 2025 and the company being 100% climate proof by 2030.’ Energy saving and the use and recycling of environmental-friendly are among the other components of this program. In this new role, Mr Cassier will lead Eurofiber’s expansion in France as part of its European growth strategy.</strong></span></p><p><span>Pierre Cassier (48) is an experienced executive, who has been working in the international ICT and telecoms industry for his entire career. Most recently, he was CEO of Expandium, provider of network monitoring solutions, and CEO of Vedicis, a French company specialized in Deep Packet Inspection (DPI) solutions, which was acquired by Expandium in 2019. Earlier, Mr Cassier held executive roles at, among others, FPS Towers, Sogetrel and Ericsson. In the newly established role of MD Eurofiber France, Pierre Cassier will be a key member of the Executive Committee of the Eurofiber Group. In this role he will be responsible for developing and executing the Group’s expansion strategy, both organic and by M&A, in France.</span></p><p><span><strong>Growth strategy</strong></span></p><p><span>In 2019, Eurofiber entered the French market by acquiring the Lille-based companies ATE, Eura DC and Eurafibre. Recently, Lumos (Nantes), FullSave (Toulouse, Bordeaux) and Netiwan (Béziers, Montpellier, Nîmes) were added to the Eurofiber Group. Pierre Cassier: ‘I am delighted to join the Eurofiber team to participate in the growth of the group in France. The various acquisitions already made constitute a solid base to accelerate our growth in France and become a national player in FFTO. <p><span><span><span><span><span><span>Antin acquired Eurofiber in May 2015. The largest independent provider of full fiber digital infrastructure dedicated to B2B customers in the Netherlands and Belgium with a growing presence in France and recent market entry into Germany, Eurofiber owns and operates an open access fibre network allowing any service provider to use Eurofiber&rsquo;s infrastructure to provide connectivity services to its end customers.</span></span></span> </span></span></span></p>

<p><span><span><span><span><span><span>Under Antin ownership, Eurofiber executed a series of value creation initiatives that positioned the company for continued rapid growth. Close to &euro;400 million in capital expenditure was invested, more than 19,000 kilometres of fibre optic cables and eight datacenters were added to its network. Recently, the firm entered the Fiber-to-the-Home segment through a partnership with Vattenfall in Berlin and the signing of an MOU with Proximus in Belgium. Today, Eurofiber is one of the leading B2B digital infrastructure companies in Europe with a network spanning over 37,000 kilometres and connecting more than 28,000 business customers.</span></span></span></span></span></span></p>

<p><span><span><span><span><span><span>Antin&rsquo;s renewed commitment as majority shareholder will allow the firm to remain alongside management, working together to extend Eurofiber&rsquo;s track record of growth.</span></span></span> <span><span><span>Eurofiber will continue to pursue its strategy of further expanding within Europe including broadening its portfolio through additional Fiber-to-the-Home projects with a wholesale and open access approach.</span></span></span> </span></span></span></p>
